SPECIFIC TERMS OF USE FOR TOKENS REFERENCED TO STOCKS AND OTHER ASSETS

October 20, 2026

These Specific Terms of Use ("Specific Terms") supplement Picnic's general Terms of Use and apply to access, through the platform, to tokens issued by third parties and economically referenced to stocks, ETFs and other assets ("Tokens").

1. Who provides the platform and who issues the Tokens

1.1. The Picnic platform is provided by DeFiBasket Labs Inc., a company incorporated in the British Virgin Islands ("Picnic"). Picnic provides a technological interface for viewing information and interacting with third-party assets, within the enabled features and applicable restrictions.

1.2. The Tokens are issued by third parties. For stock and ETF tokens in the Ondo Stocks program, the issuer is Ondo Global Markets (BVI) Limited ("Issuer"), a company incorporated in the British Virgin Islands. These Tokens provide economic exposure to the reference assets, but do not represent direct ownership of stocks or ETFs or confer shareholder rights, such as voting or direct receipt of dividends.

1.3. The nature, rights and conditions of each Token are defined by the Issuer in its terms of service, issuance documents and other applicable rules ("Issuer Documents").

1.4. The Issuer alone is responsible for the Token to its holders, in accordance with the Issuer's documentation.

2. Picnic's role

2.1. Picnic provides software tools for viewing Tokens. The execution and settlement of transactions may depend on protocols, blockchain networks and independent service providers.

2.2. Picnic does not issue or offer the Tokens, does not hold the underlying assets in custody, does not manage their backing or guarantees, and does not assume the Issuer's payment, repurchase or redemption obligations. Nor does it provide personalized investment advice, portfolio management or any guarantee of returns.

2.3. The interface is not intended for Picnic to make a public offering or distribute securities in jurisdictions where this requires authorization or registration. Displaying a Token does not mean the User is permitted to acquire it. The legal characterization of the activities depends on the applicable rules and the transaction actually carried out, and the user is responsible for checking the legality of acquiring the token in their jurisdiction and their own eligibility.

2.4. The categories, names and descriptions of the Tokens displayed on the platform are those assigned by the Issuer in its documentation; Picnic does not classify them, select them based on an investor profile or suggest how to allocate among them.

3. Who may use the features

3.1. Token transactions may be made available only to Users who meet applicable laws, eligibility conditions and the Issuer's rules. Access to the platform or other Picnic features does not guarantee transactional access to the Tokens.

3.2. Under Picnic's current rules, acquisition of these Tokens through the platform is not permitted for residents of Brazil; US persons; persons located in the United States or originating orders there; or persons subject to sanctions or other legal restrictions. The Issuer's own criteria for certain investor categories do not override these Picnic restrictions. By accessing the platform and clicking to expressly accept the risk disclaimer, the user confirms that they meet the stated eligibility criteria.

3.3. The User declares that they will provide truthful and up-to-date information, act lawfully, and not use third parties, false information or technological means to circumvent restrictions. Picnic may request verification and limit, suspend or disable features when necessary for legal, security or compliance reasons, subject to its applicable obligations. For existing positions, any exit guidance will depend on technical and legal possibilities.

3.4. The User declares that: (a) they are not a person from a jurisdiction in which the Issuer prohibits the acquisition of the Tokens; (b) they are not a restricted person under the Issuer's Terms and do not appear on applicable sanctions lists; (c) they have verified, at their own risk, that they are eligible to acquire, hold and redeem the Tokens under the laws applicable to them; and (d) they act in their own name and for their own account, using funds of lawful origin.

4. Transactions, wallets and costs

4.1. Where enabled, transactions require the User's authorization and may use third-party quotes, routes and liquidity. Prices may differ from the value of the reference asset and vary with the market, time of day, exchange rates, liquidity and execution. Transactions recorded on a blockchain may be irreversible.

4.2. Picnic's fees, where applicable, will be shown in the transaction flow. Spreads, third-party fees and network costs may apply separately. The User must check the available amounts and conditions before confirming any transaction.

4.3. Transferring Tokens to external wallets depends on network compatibility, the characteristics of the Token and the features actually available. The User is responsible for checking the address, contract, network and recipient. A transfer does not remove eligibility restrictions or guarantee the recipient access to redemption or third-party support.

5. Issuer rules, redemption and controls

5.1. The Issuer defines the rules governing the Tokens' backing, custody of reference assets, guarantees, corporate actions, circulation and redemption. These rules may require registration and identity verification directly with the Issuer, as well as limits, operating hours, costs and separate eligibility conditions. Picnic does not guarantee access to redemption, timing, a minimum amount, liquidity or receipt of any sum.

5.2. Depending on the Issuer Documents and the characteristics of the contracts, Tokens may be subject to address blocking, freezing, suspension of transfers, replacement or cancellation, including for sanctions, legal requirements or security reasons. Picnic may restrict its interface for its own compliance reasons, but such restrictions are separate from the Issuer's powers over the Tokens.

5.3. Information about reserves, audits, custodians and any guarantees should be obtained directly from the Issuer's documents and reports. The existence of backing or guarantees does not amount to insurance, bankruptcy protection or a commitment by Picnic to provide full reimbursement.

6. Token risks

6.1. The Tokens are subject, among others, to market and foreign-exchange risks; price fluctuations or divergence; lack of liquidity; suspension of trading or redemption; insolvency of the Issuer or service providers; failures of or attacks on smart contracts, wallets and networks; blocking; regulatory changes; and partial or total loss of the invested amount.

6.2. The User must read Picnic's Risk Disclosure and the Issuer Documents before using any feature. Picnic does not guarantee any financial return, maintenance of value, uninterrupted availability or recovery of losses.

7. Responsibilities, support and taxes

7.1. Picnic is responsible for the services it actually provides, in accordance with the general Terms of Use and applicable law. It does not guarantee the obligations of the Issuer, custodians, liquidity providers or third-party networks.

7.2. Picnic's support covers questions and incidents relating to use of its interface. Questions about issuance, holders' rights, backing assets or redemption must follow the Issuer's channels and procedures, without prejudice to any assistance Picnic is required to provide in relation to its own service.

7.3. The User is responsible for assessing and fulfilling their tax obligations relating to the Tokens. Picnic does not provide tax advice and may make transaction history available through existing features, without guaranteeing a specific tax statement or individualized tax classification.

8. Data, updates and final provisions

8.1. Picnic's processing of personal data is governed by its Privacy Policy. The Issuer and other service providers may require verification and process data under their own documents, where applicable.

8.2. Picnic may update these Terms and modify or discontinue features for technical, commercial, security or regulatory reasons, with the notices and measures required by applicable law. A cessation of access through Picnic does not, in itself, alter any rights the User may have directly against the Issuer.

8.3. Picnic may amend these Specific Terms and may discontinue making the Tokens available through its interface at any time, without affecting Tokens already held in the User's Wallet.

8.4. The relationship between the User and Picnic is governed by the general Terms of Use, including with respect to applicable law and dispute resolution, subject to mandatory rules. The Issuer Documents govern the rights and obligations associated with issuance, the Tokens and redemption; these Specific Terms do not replace them.

9. Documents and useful links

The Issuer's rules may be updated. For Ondo Stocks Tokens, consult in particular:

The definitive documents for each issuance (including Sales Terms and asset documents, where available to the holder) should be consulted directly through the Issuer's official channel.
